Article 1 — Purpose and scope
These terms of sale (the "Terms") govern the online sale of the licence to use the DynEQ 24 software, published by GEDEON DSP (the "Seller"), to any person making a purchase on gedeondsp.com (the "Customer").
Placing an order implies full acceptance of these Terms as in force on the day of the order. The Customer declares that they have the legal capacity to enter into a contract.

Article 2 — Product
DynEQ 24 is an audio processing plugin (24-band dynamic equalizer) supplied as digital content without a tangible medium, in Audio Unit (AU), VST3 and standalone application formats, for macOS on Apple Silicon (arm64) and Intel (x86_64) processors.
The main features of the product are described on the product page. Screenshots are illustrative; the interface may change between versions.
System requirements
- macOS 10.15 Catalina or later
- Apple Silicon (arm64) or Intel (x86_64) processor
- A digital audio workstation (DAW) supporting AU or VST3, or the standalone application
- Minimum screen resolution: 1120 × 654
It is the Customer's responsibility to check the compatibility of their setup before purchasing.
Article 3 — Price
The price of the DynEQ 24 licence is the current price shown on the product page and restated on the payment page at the time of the order. Prices are shown in euros and exclude tax: the tax applicable in the Customer's country is added at checkout. For a French Customer, a price of €49 excl. VAT corresponds to €58.80 incl. VAT. The total amount, including tax, is shown before the order is confirmed.
The Seller reserves the right to change prices at any time, with no effect on orders already confirmed: the applicable price is the one displayed when the order is confirmed. Promotional or launch pricing is valid only for the announced period and subject to the stated conditions.
The Seller's status: VAT not applicable, article 293 B of the French tax code. The Seller, a French micro-enterprise, is not VAT-registered and charges no tax on its own account.
Tax applicable to the order: orders are placed through the Gumroad platform, which acts as merchant of record. It is the seller for tax purposes and collects any VAT or sales tax applicable in the Customer's country, and remits it to the relevant authority. The total amount due, including tax, is shown before payment is confirmed.
Article 4 — Ordering
Orders are placed online in the following steps:
- selecting the product on the product page and clicking the buy button;
- redirection to the Gumroad secure payment page and entry of billing and payment details;
- reviewing the summary, accepting these Terms and confirming payment;
- order confirmation sent by email.
Confirmation of payment constitutes conclusion of the sales contract. The Customer should check their email address carefully: the licence is delivered to that address.
Article 5 — Payment
Payment is made in full at the time of the order:
- Gumroad, Inc. — card, PayPal and other methods offered by the platform. Gumroad acts as merchant of record: the transaction is concluded with it, and it issues the invoice and handles applicable taxation. Its own terms of sale apply in addition to these Terms.
The website does not collect, process or store any card data: it is entered directly on Gumroad's payment page, whose transactions are processed by its provider Stripe, certified PCI-DSS Level 1. See the privacy policy.
The order is processed only once payment has been received. If authorisation is declined, the order is automatically cancelled.
Article 6 — Delivery
As the product is digital, there is no physical delivery. Once payment is confirmed, the Customer receives by email, at the address given when ordering:
- a download link for the installer;
- their personal licence key, issued by the Gumroad platform;
- installation and activation instructions.
Delivery is normally immediate and in any event within 24 business hours. If nothing is received, please check your spam folder and then contact support@gedeondsp.com.
Article 7 — Licence of use
The purchase grants the Customer a personal, non-exclusive, non-transferable licence of indefinite duration ("lifetime licence") to use DynEQ 24, on the following terms:
- the Customer may install and use the software on up to five (5) Mac computers they own or are the primary user of. If a machine is replaced, fails or is retired, an activation is released on request at support@gedeondsp.com;
- use is permitted for personal and professional purposes, including commercial productions;
- updates to the purchased version (fixes and improvements) are included at no extra cost;
- the licence may not be resold, lent, rented, shared or transferred to a third party;
- any reproduction, decompilation, reverse engineering or modification of the software is prohibited, save as permitted by applicable law;
- the licence key is strictly personal; publicly distributing it results in immediate termination of the licence without refund;
- activation may require an occasional internet connection in order to verify the key with the licensing service; no permanent connection is required to use the software.
The Seller retains all intellectual property rights in the software. A future major version may be the subject of a separate commercial offer.
Article 8 — Right of withdrawal
Under EU consumer law, consumers generally have fourteen (14) days to withdraw from a distance contract.
However, this right does not apply to the supply of digital content not supplied on a tangible medium where performance has begun with the consumer's prior express consent and their express acknowledgement that they thereby lose their right of withdrawal (Art. L221-28, 13° of the French Consumer Code, transposing Directive 2011/83/EU).
By confirming the order, the Customer:
- expressly requests that performance of the contract begin immediately, before the withdrawal period expires;
- acknowledges that they thereby expressly waive their right of withdrawal as soon as the download link and licence key are made available.
Both statements appear in these Terms, which are accessible from the product page and from the payment page, and are brought to the Customer's attention before the order is confirmed.
For orders placed via Gumroad, acting as merchant of record, that platform's refund policy also applies and may be more favourable to the Customer; in that case the more favourable provision prevails.
A Customer who has not yet downloaded the software may request cancellation and a full refund by writing to support@gedeondsp.com within 14 days of purchase.
Article 9 — Legal warranties
The Seller remains bound by the legal warranties applicable to digital content and services, independently of any commercial warranty:
- the legal warranty of conformity (Art. L224-25-12 et seq. of the French Consumer Code), allowing the Customer to obtain free-of-charge conformity and, failing that, a price reduction or termination of the contract;
- the warranty against hidden defects (Art. 1641 et seq. of the French Civil Code).
To invoke these warranties, the Customer should contact support@gedeondsp.com, describing the defect and their setup.
Article 10 — Support and updates
Email technical support is provided at support@gedeondsp.com, within a reasonable time, in French or English.
The Seller endeavours to keep the software compatible with current macOS releases and DAWs, but cannot guarantee identical behaviour on every configuration, in particular beta or obsolete operating system versions.
Article 11 — Liability
The software is an audio processing tool. It is the Customer's responsibility to back up their projects and data before installation. The Seller cannot be held liable for data loss, business interruption or any indirect damage arising from use of the software.
Nothing in these Terms excludes or limits the Seller's liability for wilful misconduct, gross negligence, personal injury, or under the legal warranties set out in Article 9.
Article 12 — Personal data
Data collected in connection with the order is processed in accordance with the privacy policy. It is passed to Gumroad solely in order to fulfil the order, issue invoices and manage licences. The Customer has rights of access, rectification, erasure, restriction, portability and objection, exercisable at support@gedeondsp.com.
Article 13 — Force majeure
The Seller cannot be held liable for failure to perform its obligations in the event of force majeure, in particular a major failure of communication networks or prolonged unavailability of its host or payment provider.
Article 14 — Governing law and dispute resolution
These Terms are governed by French law. In the event of a dispute, the Customer should first contact the Seller to seek an amicable solution.
Failing agreement, a consumer Customer may refer the matter free of charge to a consumer ombudsman:

The Customer retains the right to bring the matter before the competent court. Nothing in this article deprives a consumer resident in another EU member state of the protection afforded by the mandatory provisions of the law of their country of residence.
